Terms of Service - Luana Home

1. Agreement to Terms

By accessing or using Luana Home ("the Service"), operated by Convene Market LLC, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Luana Home is a family organization platform that displays routines, calendar events, and photos on your Samsung TV. The Service includes:

A web application for managing your household
A Samsung TV application for displaying information
Integration with third-party calendar services
Photo storage and display features

3. Account Registration

To use the Service, you must create an account. You agree to:

Provide accurate and complete information
Maintain the security of your password
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use

You must be at least 18 years old to create an account. Parents and guardians may create family member profiles for minors under their supervision.

4. Subscriptions and Payments

Free Trial

New users receive a 14-day free trial with full access to all features. No credit card is required during the trial.

Subscription

After your trial ends, a subscription costs $4.99 per month and includes unlimited routines, family members, TVs, calendar sync, photo screensaver (up to 100 photos), and rewards system.

Billing and Auto-Renewal

Subscriptions are billed monthly through Stripe and will automatically renew each billing period until you cancel. You authorize us to charge your payment method on a recurring basis. You may cancel at any time, and your subscription will remain active until the end of the current billing period.

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing period after the notice. Your continued use of the Service after a price change constitutes acceptance of the new price.

Refunds

We offer a full refund within 14 days of your first subscription payment if you're not satisfied. After that, you can cancel anytime and your subscription will remain active until the end of your current billing period. Contact us at support@myluanahome.com to request a refund.

5. Acceptable Use

You agree not to:

Use the Service for any illegal purpose
Upload content that is offensive, harmful, or infringes on others' rights
Attempt to gain unauthorized access to the Service
Interfere with or disrupt the Service
Use the Service to send spam or unsolicited messages
Reverse engineer or attempt to extract source code

6. User Content

You retain ownership of content you upload to the Service (photos, routine names, etc.). By uploading content, you grant us a license to store and display that content as part of the Service.

You are responsible for ensuring you have the right to upload any content and that it does not violate any laws or third-party rights.

You agree not to upload photos or other content that is illegal, pornographic, depicts abuse, contains malware, or infringes on intellectual property rights. We reserve the right to remove any content that violates these restrictions without notice.

7. Third-Party Services

The Service integrates with third-party services including Google Calendar and Stripe. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability or functionality of third-party services.

8. Intellectual Property

The Service, including its design, features, and content (excluding user content), is owned by Luana Home and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVENE MARKET LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Convene Market LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you upload to the Service.

12. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any damages resulting from service interruptions.

13. Termination

We may terminate or suspend your account at any time for violation of these terms or for any other reason at our discretion. You may terminate your account at any time by contacting us or using the account deletion feature.

Upon termination, your right to use the Service will cease immediately. We may delete your data according to our data retention policy.

14. Dispute Resolution and Arbitration

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in Salt Lake City, Utah, or at another mutually agreed location. The arbitrator's decision shall be final and binding.

Class Action Waiver: YOU AND CONVENE MARKET LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both parties agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

Exceptions: Either party may bring claims in small claims court if the claims qualify. Either party may seek injunctive relief in any court of competent jurisdiction for infringement of intellectual property rights.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@myluanahome.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

15. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law provisions. Any legal action not subject to arbitration shall be brought in the state or federal courts located in Salt Lake County, Utah.
